1. Acceptance of Terms
Midpoint is operated by Midpoint Social, LLC, a California limited liability company ("Midpoint," "we," "us," or "our"). By accessing or using Midpoint, you agree to be bound by these Terms of Service. If you do not agree, please do not use our services.
These terms apply to all users, including those who create hangout sessions, join as participants, or browse the platform.
2. User Accounts
You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account and all activity under it.
You may not create multiple accounts, share your credentials, or use another person's account without permission.
3. Acceptable Use
You agree to use Midpoint only for its intended purpose — coordinating meetups with friends and groups. You may not:
• Use the service for any unlawful purpose
• Harass, abuse, or harm other users
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the service
• Scrape or collect user data without consent
4. Intellectual Property
Midpoint and its original content, features, and functionality are owned by Midpoint Social, LLC and are protected by copyright, trademark, and other intellectual property laws.
You retain ownership of content you create (photos, messages) but grant us a worldwide, non-exclusive, royalty-free license to display it within the app to other session participants for the purpose of providing the service.
5. Paid Subscriptions and Automatic Renewal
Midpoint offers paid subscription plans (currently the "Friend Plan") in addition to the free tier. By subscribing, you authorize Midpoint Social, LLC and our payment processor (Stripe, Inc.) to charge your payment method on a recurring basis for the plan you selected.
Subscription terms:
• Your subscription automatically renews at the end of each billing period (monthly or annual, as selected) at the then-current price until you cancel.
• You authorize us to charge your payment method for each renewal without further action from you.
• Prices and features may change. We will notify you of material price increases at least 30 days before they take effect, and you may cancel before the change to avoid the new price.
• Subscription fees are non-refundable except as expressly stated in these terms or as required by law. If you are unhappy within the first 14 days of a new subscription, contact support@midpoint.co and we will process a refund at our discretion.
This section is a negative option feature subject to California's Automatic Renewal Law (Cal. Bus. & Prof. Code § 17602). You acknowledge that you have read and agreed to these automatic renewal terms.
6. Cancellation
You may cancel your subscription at any time, and cancellation will take effect at the end of the current billing period. You will continue to have access to paid features until the end of that period.
To cancel, you may use any of the following methods, each of which takes effect immediately upon confirmation:
• In the Midpoint app: Profile → Settings → Manage Subscription
• On the web: the Stripe customer portal link in your purchase confirmation email
• By email: cancel@midpoint.co from the address associated with your account
In accordance with California SB 313 (the "Click to Cancel" law), you may cancel online through the same medium used to subscribe, without needing to call a phone number or take additional steps beyond those listed above. We will not impose any new or additional obligations on you before honoring a cancellation request.
7. SMS Messaging and Consent
By providing your mobile phone number through Midpoint's signup, sign-in, "Add Phone Number" flow, or by accepting a friend's invitation to a hangout or photo tag, you consent to receive transactional text messages from Midpoint at the number provided, sent via an automatic telephone dialing system or other automated technology.
Categories of messages you may receive:
• Account verification — one-time passcodes for sign-in, signup, and phone-number changes.
• Hangout invitations — when an authenticated Midpoint user invites you to a specific hangout by phone number.
• Photo-tag notifications — when an authenticated Midpoint user tags you in a hangout photo (rolling out in a future release).
Consent to receive these messages is not a condition of using Midpoint generally. You may use the app with email-based authentication and decline phone-based features at any time.
Message frequency varies and depends on your activity in the app and on actions taken by your friends. Midpoint does not send any marketing, promotional, recurring, or unsolicited SMS — every message we send is triggered either by you (verification) or by a specific user-initiated invitation or tag.
Message and data rates may apply. Standard carrier message and data rates apply to all SMS sent to or received from Midpoint per your carrier's plan.
To stop receiving SMS, reply STOP to any Midpoint message. To get help, reply HELP, or contact support@midpoint.co. Opting out will not affect non-SMS access to the app, but will disable phone-based sign-in for the opted-out number until you re-consent.
Midpoint partners with Twilio Inc. to deliver SMS messages. By providing your phone number you understand that message content is transmitted through Twilio's infrastructure subject to their carrier and regulatory obligations.
8. Limitation of Liability
Midpoint is provided "as is" without warranties of any kind, express or implied. We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service.
We do not guarantee the accuracy of venue suggestions, travel time calculations, or meeting point recommendations. Use good judgment when meeting people in person.
To the maximum extent permitted by law, our total liability to you for any claim arising from or related to the service will not exceed the amount you paid us in the twelve (12) months preceding the claim, or one hundred US dollars ($100), whichever is greater.
9. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute arising from or related to these Terms or the service will be resolved in the state or federal courts located in San Francisco County, California, and you consent to the personal jurisdiction of those courts.
Nothing in this section prevents either party from seeking injunctive relief for intellectual property infringement or unauthorized access to the service.
10. Changes to Terms
We may update these terms from time to time. We will notify you of material changes via email or in-app notification at least 14 days before they take effect. Continued use of the service after changes constitutes acceptance.
